Job Summary

The Senior Credit Legal Documentation Officer is responsible for managing and overseeing the legal documentation associated with credit facilities and financial transactions. This includes reviewing, drafting, and negotiating agreements while ensuring compliance with regulatory requirements and internal policies. The role involves close collaboration with internal teams such as credit risk, legal, and relationship managers to ensure documentation accuracy, enforceability, and alignment with the Bank’s risk management strategy.

Key Responsibilities

•    Draft, review, and negotiate credit-related agreements, including loan documents, collateral arrangements, facility letters, and security agreements.
•    Ensure all documentation complies with regulatory requirements, internal policies, and industry standards.
•    Collaborate with relationship managers, credit officers, and legal teams to provide legal support for credit transactions, ensuring terms and conditions are accurately reflected.
•    Coordinate due diligence processes for lending purposes, including reviewing financial and legal information.
•    Identify and mitigate legal risks in credit transactions.
•    Stay updated on applicable laws, regulations, guidelines, and proposed changes.
•    Provide guidance on contractual interpretation and resolve legal issues related to credit documentation.
•    Advise on credit legal matters and ensure alignment with the Bank’s risk management strategy.
•    Maintain and manage credit documentation in an organized manner, updating as necessary.
•    Contribute to improving documentation processes and systems to enhance efficiency and compliance.
•    Mentor junior legal documentation staff and promote adherence to best practices.
•    Participate in dispute resolution related to credit transactions in collaboration with internal and external stakeholders.

 

Qualifications

Requirements

•    A law degree (LLB, BA in Law and Finance, or equivalent).
•    Additional legal qualifications (e.g., Attorney, Bar-at-Law) are preferred.
•    Minimum 5 years of experience in credit legal documentation or financial services.
•    Proven expertise in drafting and negotiating loan and credit agreements.
•    Experience in large financial institutions or law firms specializing in finance.
•    Knowledge of international credit markets and cross-border transactions.
•    Deep understanding of credit products (e.g., corporate loans, trade finance, derivatives) and regulatory frameworks.
•    Accuracy in document preparation, review, and compliance.
•    Ability to explain legal terms and concepts to non-legal stakeholders effectively.
•    Experience dealing with clients, legal advisors, and counterparties.
•    Capability to identify issues and propose effective solutions under pressure.
•    Strong collaboration skills with cross-functional teams.
•    Familiarity with legal document management software, Microsoft Office Suite, and financial systems.
•    Highly organized and capable of managing multiple projects simultaneously.
•    Independent, proactive, and adaptable to a dynamic, fast-paced environment.
•    Strong analytical and decision-making abilities.
