Associate Executive-Corporate Services

 Job Description:

The Associate Executive-Corporate Services is expected in providing a high standard of customer service to clients and assistance in ensuring all transactions pertaining to the management of the clients’ affairs are executed timely and efficiently.

i) Key Functions

• Corporate and Trust Administration duties including but not limited to corporate secretarial functions, the preparation of meetings, drafting of minutes/resolutions, instructing payments, undertaking regulators periodic risk review.
• Liaising with external parties such as Bankers, Auditors, Lawyers and Regulatory bodies;
• Liaising with relevant authorities with regards to permits, licenses etc.;
• Developing and maintaining relationships with internal departments of the Company including Fund, Compliance, & Accounting to timely and effectively support the clients’ activities;

ii) Experience required

Associate Executive-Accounting Services

Job Description:

i) Key Functions
• Preparation of annual accounts for management purposes and in accordance with IAS and IFRS for filing with regulators.
• Manage and reconcile accounts receivable and accounts payables.
• Maintain fixed asset register.
• Prepare and maintain accounting documents, records, and reports in a timely and accurate manner.
• Maintain regular contact with other departments to obtain and convey information and/or to correct transactions.

  • Maintaining proper company records in accordance with internal and legal requirements;

  • Ensuring that all day-to-day matters required to be completed are performed in a timely and satisfactory manner including monitoring tasks;
  • Effect statutory filings with FSC, ROC and other statutory bodies;
  • Maintain statutory registers in line with the relevant laws and regulations;
  • Convene meetings of directors/shareholders, prepare Board papers and drafting of minutes.
  • Completion and follow-up of Certification, Notarisation, Apostillation, Consularisation of documents on a timely basis.
  • Follow up on executed documents, agreements, contracts and ensure on file with proper indexing.

  • Conduct Anti Money Laundering / KYC checks on shareholders (i.e. investors) in accordance with the policies & procedures and liaise with investors in relation to anti-money laundering documentation.
  • Check if the Investor has provided all information required for FATCA/CRS classification in accordance with the guidelines. Liaise with the FATCA Team and the investors accordingly
  • 0-5 years of Experience in Investor Services / Transfer Agency operations preferably with Hedge Funds and a proven interest in the financial markets, hedge funds  and private equity funds
  • A Qualified Degree in Business or Finance

Role 3 – Internal Compliance (Associates to Senior Associates)

Main responsibilities and requirements:

  • Adherence to company and group policies on AML/CFT.
  • File reviews (including CDD review) – including Complex structures.

  • Compile findings to include in Compliance KPI.

  • Be proactive and provide prompt, excellent and professional T&CS administration services
  • Support the Apex Client to ensure databases and core records are kept up to date and all relevant activity and transactions within scope of role are captured in the appropriate system.
  • Comply with the Group’s internal control and audit standards
  • Partly or Fully Qualified ICSA or a Degree in Management, Law and Finance.
  • Minimum of 2 to 4 years’ experience in handling a portfolio independently and trust administration experience or relevant experience in Jersey and/or on Jersey regulated T&CS client structures/activity.

Role 3 – Corporate Manager (Only AVP)

Main responsibilities and requirements:

  • Attend board meetings, review Fund shareholders’ agreements, PPMs, constitutions, subscription book and other materials as required.
  • Ensure that client responsibilities are managed effectively and to agreed client, best practice, regulatory and statutory deadlines and excellent customer service to clients and ensure they are always satisfied with the quality of the work being delivered and all their requests are being attended in a timely manner.

  • A professional qualification such as ACCA/ICSA with 10+ years of experience in the industry
