The compliance function is responsible to prevent, detect and respond to compliance, regulatory and ML/TF risks faced by Clients of IQ EQ Shared Services ltd, in line with the relevant AML/CFT Framework. The job holder will have to carry out file review and all other due diligence necessary for client on boarding and assist with the design of the KYC Framework. They will also provide assistance in tax compliance (FATCA and CRS) and other compliance requirement to clients based in multi jurisdictions. They will ensure protections of information assets of IQ EQ Shared Services Ltd and abide by the ISMS in place at IQ EQ Shared Services Ltd.

Tasks

  • KYC review on entities based in multi jurisdiction, such as UK, Cayman Islands, Curacao, Singapore, BVI, Luxembourg and Jersey;
  • To provide assistance in FATCA and CRS compliance for client based in multi jurisdiction, such as Netherlands, Cayman Islands, Singapore, BVI, Luxembourg and Jersey
  • Liaising with business department with regards to KYC requirements for client/investor on boarding -Maintaining KYC Documents on a secured database -File Review ( including world –check and sanction list screening);
  • Attend AML/CFT queries from Clients in a timely manner and also attend calls of Clients with regards to on-going review, status of projects and new assignments;
  • Provide report with gap analysis and propose remedial actions for validation -Drafting of Key operating procedures for new clients and KOPs update. -Carrying out Due Diligence on client accounts;
  • Acquiring valuable insight into different entities when using research tools to conduct background checks on different entities;
  • Check all accounts according to KYC principles and ensure that the account parameters and data have been correctly set on the core systems. -Verify presence and adequacy of documents required from KYC perspective for a clients to maintain accounts;
  • Analyze account opening documents with a view to identify any inconsistencies in the information provided and engage frontline or originating business partners to seek assurance on the nature of the client being on-boarded;
  • To provide support in identifying, analyzing and disseminating the latest global regulatory information;
  • Consolidation and reporting of stats on a quarterly
  • To ensure protection of information assets of IQEQ MAU and to abide by the ISMS in place at IQEQ MAU.

  • Degree holder in law or any other relevant field

Risk and Compliance aims to support the Board of Directors and Senior Management to fulfil their statutory and regulatory obligations, by helping to ensure compliance with the laws, regulations, principles and codes established by the regulator.

Tasks

You Will Provide Support To The Attainment Of The Overall Objectives Of The Risk Management Function. As Such You Will Be Part Of The Luxembourg Risk & Compliance Team, And You Will Assist The Risk Manager In His Daily Work By

  • Reviewing risk incidents raised in the risk management system (MetricStream)
  • Monitoring the implementation of risk mitigation triggered by risk incidents
  • Conducting risk assessments and updating findings on the quarterly / ad hoc Enterprise Risk Management process
  • Performing controls testing as part of the Enterprise Risk Management
  • Attending and taking minutes of the quarterly and ad hoc risk and compliance committee
  • Organizing training sessions for staff on risk awareness with operational risk policies

The Executive – Business Implementation role holder will master all aspects of the incorporation process and shall deliver on all actions required from incorporation of new structures to the handing over of the client file to the Country Delivery Director.

Tasks

  • Assessment under the supervision of the BI Director of proposed client’s structure and business objectives of new object companies and set list of Customer Due Diligence (‘CDD’) documents required.
  • Attend to client’s calls with regard to any new set ups and transfer Ins.
  • Work closely with the Assistant Manager to ensure that all CDD information is provided promptly and is complete and formalize the information required for Client Acceptance Process by the On Boarding Team.
  • Assist Assistant Manager/Manager with respect to the drafting and preparation of all incorporation application pack.
  • Assist with preparation (as applicable) of the Client Acceptance Procedure and Policy (“CAPP”) approval forms prepared by team members of BI.
  • Attend to queries and liaise with the regulators and authorities as part of the incorporation process under the supervision of the Assistant Principals.
  • Discussion and work with BI Director to facilitate decision making for on boarding, compliance review, CAPP/ACE Approvals.
  • Assist with the updating of all relevant information on the relevant software available and to issue reports as required.
  • Assist with the billing of invoices for new leads obtained through BI

  • Confirm that change in business plan is as per IQ-EQ policy and Mauritian law, review WRS.
  • Verify request for payment and supporting document are compliant then send to Principal for approval.
  • Verify that all documents, to be submitted for approval by board of directors, are compliant and necessary approval from local authorities are requested and obtained.
  • For distribution of shares or dividend or redemption, ensure that the management accounts to-date and forecasted management accounts after transaction are available and confirm solvency of the client company prior and post the transaction. Verify resolution and notice of distribution where required prior to release.
  • Liaise with shareholders, through Manager-Secretarial (where applicable) to provide duly filled-in and signed self-certification forms. Identify Reportable accounts and send to Senior Associate to input on JANUS. Send confirmation to client once done.
  • Review PAN application form and board resolution and submit to Manager-Secretarial (where applicable) for approval.
  • Resolutions for change in Auditors and FSC approval (where applicable); change in bank signatories; change of registered office. Submit for approval to the board of directors.
  • TRC application before submission to FSC. Upon approval, send to FSC.
  • Application for current standing certificate & application of certificate of good standing.
  • Board resolutions for change of bank signatories / registered office / company secretary and related supporting documents/letters.
  • Review board pack before submission to board members; participate in board meeting; review minutes before communicating to board members; sign minutes upon validation by all board members.
  • Validate the board pack for investment, shares issuance/transfer, distribution of shares/dividend and present to BOD for approval. Upon confirmation, instruct the Senior Associate to execute the transaction. Proceed with the signature of new/revised agreement with the different parties.
  • Sign correspondence to ROC, FSC and Registrar General for pledge of shares, release of shares and deregistration of pledge. Ensure relevant register is updated accordingly.
  • Ensure FATCA/CRS reporting for all clients.
  • For constitution adoption or amendment, obtain details from the client, agree the fee quote with the client after consultation with the Legal team. Upon approval, send to the Senior Associate to work with the Legal team to customise a standard constitution. Send the proposed constitution to the client for validation. Send the WRS for signature to adopt the constitution. Upon receipt of signed WRS, liaise with Legal for a legal certificate. Prepare and submit Form 12, with supporting document, on CBRIS and request a certified version of the constitution. Inform the client upon reception of the certified constitution.
  • For amendment to a constitution, request approval of the shareholders/Directors’ resolution. Upon approval, sign the Form 12 – Notice of Adoption/ Alteration/ Revocation of Constitution. Review and sign-off the letter to ROC, copy FSC, and annex the supporting document.
  • Work on complex assignments such as restructuring, financing, migration, amalgamation amongst others.
  • Perform other Secretarial related tasks including special assignments and projects.
  • Work together with the Director-Client Coverage / Client Coverage Manager to ensure a proper allocation of client/task to the team members.
  • Participate and provide input to the performance review and development plan of team members whom he/she has worked with, trained or coached
  • Ensure protections of information assets of IQ-EQ MU and to abide by the ISMS in place at IQ-EQ MU

Description Du Poste

Dans un environnement international, au sein du département Risk et Compliance, le rôle du Risk Analyst est d’être un acteur clé dans le respect pour les activités de IQ EQ en France de l’ensemble des contraintes d’investissement réglementaires, clients ou internes. Ainsi, vous serez amené à réaliser les contrôles de façon indépendante, enregistrer et escalader les incidents jusqu’à leurs résolutions, accompagner les équipes dans la prévention des incidents et communiquer sur votre activité.

Votre rôle sera d’accompagner ce périmètre en plein développement.

The Funds System Analyst is responsible for developing, documenting, and supporting business solutions, applications, and reports within the company’s application suite. The role includes administration of systems, access, processes, and controls. Relationship building with stakeholders across business and IT department will be essential, as will understanding pain points and devising solutions, ultimately leading to a deep technical knowledge of the platforms used and input into development roadmap and driving best practices.

The Associate Manager is responsible for low-medium process complexity, client issues and demands.

The Associate Manager will act as the Reviewer for the work submitted by the Junior Associate, Associate & Senior Associate and ensures that the work delivered to clients is compliant to the Group and Company compliance policies as well as local regulatory framework.

The Associate Manager will send the work to the Manager for final review and submission to clients where required.

Tasks

  • Train and coach team members working under his/her supervision or working on his/her client portfolio.
  • The Associate Manager will review the tasks prepared by Junior Associate, Associate & Senior Associate in line with their respective Job Description. In particular, this would be as per the list below and send to the Manager for final review when necessary as per Company policy:
    • Change in business plan, approve WRS or attend special meeting for approval and confirm that change in business plan is as per IQ-EQ policy and Mauritian law, review WRS
    • Approve request for payment and inform client once bank confirmation received. Do call back with clients on payments.
    • Verify request for payment and supporting documents are compliant then send to Manager for approval.
    • Letters to stakeholders such as ROC / FSC.
    • Bank and/or custody account opening pack.
    • Verify that all documents, to be submitted for approval by board of directors, are compliant and necessary approval from local authorities are requested and obtained.
    • For distribution or dividend or redemption, ensure that the management accounts to-date and forecasted management accounts after transaction are available and confirm solvency of the client company prior and post the transaction. Verify resolution and notice of distribution where required prior to release.
    • Liaise with shareholders, through the Manager (where applicable) to provide duly filled-in and signed self-certification forms. Identify Reportable accounts
    • Review PAN application form and board resolution and submit to the Manager (where applicable) for approval.
    • Resolutions for change in Auditors and FSC approval (where applicable); change in bank signatories; change of registered office. Submit for approval to the Board of Directors.
    • TRC application before submission to FSC. Upon approval, send to FSC.
    • Application for current standing certificate & application of certificate of good standing.
    • Board resolutions for change of bank signatories / registered office / company secretary and related supporting documents/letters.
  • Review board pack before submission to board members; participate in board meeting; review minutes before communicating to board members; ensure that minutes are signed upon validation by all board members. Ensure completion of all relevant corporate actions required and updating of internal data management software (“Microgen 5Series”). Any matters arising out of board meetings and relevant corporate actions should be monitored to ensure completion.
  • Liaise with the client for the appointment or resignation of MLRO/DMLRO/Compliance Officer, identify new MLRO/DMLRO/Compliance Officer, assess against a set of criteria including AML/KYC then inform the Senior Associate/Associate to prepare letters and supporting documents for approval by the Board of Directors and FSC. Ensure FSC is notified within appropriate delay.
  • Monitor that AML & KYC/CDD checks on new directors, shareholders (up to beneficial owners), investors and investee companies.
  • Ensure that there is a proper monitoring to collect any outstanding due diligence documents
  • Ensure that client files are compliant with the Laws and Regulations of its jurisdiction.
  • Ensure invoices are generated in line with Budget agreed for the team and review of invoices once generated from the Billing Team
  • Attend other ad-hoc request from clients and identify potential for billing initiatives on ad hoc work done
  • Monitor debtors’ days / lock up days and ensure timely cash collection
  • Perform other Secretarial related routine tasks including but not limited to securing signatures of relevant signatories on documents, assisting the Manager in special assignments & projects.
  • Provide assistance to Manager on any inspection received from the Regulator.
  • Ensure that all statutory filings of the Company e.g. filing of accounts & Tax returns, TRC have been complied with.
  • Update time sheets as required under the IQ EQ’s internal policies.
  • Ensure that all documentation/company’s records are duly scanned and saved on the document management software (“EazzyFiling”) and maintained on the Client’s File. Company’s physical files/documents are to be maintained in proper order in compacter/safe/filing cabinets.
  • Ensure that archiving of documentation is done post approval from Assistant Manager/Manager
  • Work together with the Manager to ensure a proper allocation of client/task to the team members.
  • Participate and provide input to the performance review and development plan of team members whom he/she has worked with, trained or coached
  • Review Time Sheet of Team Members and approve same as per Company Policy.
  • Ensure the relevant systems (5Series) is updated at all times for portfolio.
  • Update planning information (BiLLy) once submitted by Associate / Senior Associate
  • Ensure protection of information assets of IQ-EQ MU and to abide by the ISMS in place at IQ-EQ MU
  • Participate in key events organized by IQ EQ or in committees set up
  • Assist Director – Client Management with preparation of client profiles and reports
  • Monitor the WIP chargeability of companies administered within the portfolio
